RELEASE FORM

In consideration of my engagement as a model, I hereby grant to CrescentX, LLC, its heirs, legal representatives and assigns, those for whom Photographer is acting, and those acting with his/her authority, and permission, the irrevocable and unrestricted right and permission to copyright, in his/her own name or otherwise, and use, re-use, publish, and re-publish photographic portraits, or pictures of me or in which I may be included, in whole or in part, or composite or distorted in character or form, without restriction as to change or alterations, in conjunction with my own fictitious name or reproductions thereof in color or otherwise, made through any medium at his/her studios or elsewhere, and in any and all media now or hereafter known for illustration, promotion, art, editorial, advertising, trade, publications, internet publication, re-sale, sale or any other purpose whatsoever including publications covering and directed toward people of all genders,and sexual preferences. I also consent to the use of any printed matter in conjunction therewith.

I hereby waive any right that I may have to inspect or approve the finished product or products and the advertising copy or other matter that may be used in connection therewith or the use to which it may be applied. Performer/ Model further agrees that CrescentX may utilize any wording or description in connection with the utilization of the photos and video,and use any assumed name for this model as it sees fit. CrescentX, at its sole discretion,may determine and publish appropriate, including sexually explicit language and descriptions of the model/ performer, which may be materially untrue and unflattering. Any right of performer/ model to object or complain to any such wording,naming, descriptions and or advertising Company is hereby expressly and forever waived and assigned to CrescentX.

I hereby release, discharge, and agree to save harmless CrescentX, his/her heirs, legal representatives and assigns, and all persons acting under his/her permission or authority or those for whom he/she is acting, from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may occur or be produced in taking of said picture or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy.

This release and all of the above conditions and terms, covers all future and ongoing modeling work contracted between myself and CrescentX, LLC, and is not limited to each individual engagement. I hereby warrant that I have reached the age of 18 years or whatever the applicable legal age in my city/town/state/or country of residence is, and have the right to contract in my own name. I have read the above authorization, release, and agreement, prior to its execution, and I am fully familiar with the contents thereof. This release shall be binding upon me and my heirs, legal representatives, and assigns.

Having acknowledged and agreed to all the above, the undersigned, also known as the model, by his/her signature below, does hereby irrevocably consent to be photographed by a representative of CrescentX, LLC. Photographed encompasses, still photography (digital electronic photographs and/or printed photographs), and/or video tape/film photography or any media deemed to be photography in any form. The undersigned revokes any and all rights to said photographs and negatives and/or video tapes/film. The undersigned will receive monetary compensation for his/her photographs and shall not expect nor will they receive compensation for any sanctioned use of said photographs by CrescentX, LLC, their agents and/or their representatives. Sanctioned use meaning print media, advertising, merchandise/promotional material, electronic retrieval systems (the Internet/World Wide Web) or any media which CrescentX and/or its representatives see appropriate for use in all domestic and foreign markets.

The undersigned revokes any and all rights to any royalties which may be derived by CrescentX, its representatives by reselling/redistributing said photographs/video/film to any sources which it finds acceptable, for use in all domestic and foreign markets.

Models are not employees of CrescentX, LLC, nor is CrescentX, LLC, responsible for insurance, taxes, benefits, or anything else beyond the scope of this release with regard to models. The undersigned expressly agrees that he is an independent contract for the purposes of this agreement and further agrees to indemnify and defend CrescentX, LLC, for any tax disputes arising from the compensation paid by CrescentX, LLC to the undersigned.

This agreement shall be governed by the laws of the State of Vermont, without reference to conflicts of law principles. Any claim or controversy that arises out of or relates to this Agreement, or the breach of it, shall be settled by binding and mandatory arbitration in the State of Vermont, in accordance with the rules of the American Arbitration Association. The arbitrator(s) may award attorney fees and court costs. Judgment on the award rendered may be entered in any court possessing jurisdiction over arbitration awards.

The undersigned shall be responsible for any arbitration liability which may be incurred due to his/her taking legal action against CrescentX, its agents or its representatives. Models must be 18 years of age or older!
